Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Ringback Local website at ringbacklocal.com and our missed-call text-back automation platform (collectively, the "Services"), operated by Nicholas Rabiu, sole proprietor of Ringback Local ("Ringback Local," "we," "our," or "us"), located at 501 W 4th Street, Apt 633, Winston-Salem, NC 27109.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Service Description
Ringback Local provides a missed-call text-back automation platform for local service businesses. When a customer places an inbound call to a business using our platform and the call goes unanswered, our system automatically sends a transactional SMS message to the caller's phone number on behalf of the business client.
The Services include:
- Automated missed-call detection and SMS response
- AI-powered conversation handling for lead qualification and appointment booking
- Lead capture, dashboard, and notification tools
- Follow-up messaging sequences
- Analytics and reporting on captured leads and conversion rates
Services are provided to local service businesses on a subscription or arrangement basis. End consumers (callers) receive transactional SMS messages as part of the service provided to our business clients.
2. Account Responsibilities
If you create an account with Ringback Local, you agree to:
- Provide accurate, current, and complete information during registration and keep it updated
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
- Not share your account credentials with any third party
You must be at least 18 years old and legally authorized to enter into binding contracts to use our Services as a business client.
3. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services to send unsolicited, harassing, deceptive, or illegal messages
- Violate any applicable federal, state, or local law or regulation, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
- Violate CTIA Messaging Principles & Best Practices or carrier guidelines
- Use the Services to send promotional or marketing messages to consumers who have not opted in to receive such messages
- Use purchased, rented, harvested, or affiliate lead lists to source SMS recipients
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Reverse engineer, decompile, or disassemble any component of the Services
- Use the Services in any way that could damage, disable, overburden, or impair our infrastructure
- Attempt to gain unauthorized access to any portion of the Services or any other systems connected to the Services
Ringback Local reserves the right to suspend or terminate accounts that violate these use restrictions, without notice, at our sole discretion.
4. SMS Messaging

Important: Our platform is designed exclusively for transactional customer service messaging. Use of the platform for promotional or marketing SMS campaigns without proper opt-in consent is a violation of these Terms and applicable law.
By using our Services, business clients agree to the following SMS messaging terms:
- Transactional use only: Automated SMS messages are sent only in direct response to inbound missed calls from consumers, or to users who have given explicit opt-in consent via our website form
- Consent basis: The consumer's inbound call constitutes express consent for a related transactional follow-up SMS under CTIA Section 5.1.1 guidelines on customer-initiated communications
- No purchased lists: Phone numbers must be sourced exclusively from inbound customer contact or verified opt-in consent, never from purchased, rented, or affiliate lead lists
- Opt-out compliance: All opt-out requests (STOP) must be honored immediately and permanently; no further messages may be sent to opted-out numbers
- HELP compliance: Consumers who reply HELP must receive a compliant help response with business contact information
- Message disclosures: All automated messages must include: business name, opt-out instructions (Reply STOP), help instructions (Reply HELP), and message/data rate disclosure
- No prohibited content: Messages may not contain content that is illegal, deceptive, harassing, sexually explicit, or otherwise prohibited by carrier guidelines
- Rate limits: Message frequency must be reasonable and directly tied to customer interactions
Compliance standards: Ringback Local operates its SMS program in compliance with the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), CTIA Messaging Principles & Best Practices, and A2P 10DLC carrier requirements. Business clients are responsible for ensuring their use of the platform also complies with all applicable laws and regulations.
5. Pricing and Billing
Pricing for Ringback Local Services is provided on a per-client basis. Current pricing and plan details are available upon request by contacting us at [email protected]. Pricing is subject to change with reasonable advance notice to active clients.
General billing terms:
- Billing cycles and payment terms are specified in your service agreement
- Payments are due as specified in your invoice or service agreement
- Late payments may result in service suspension
- Refunds are handled on a case-by-case basis; contact us within 14 days of a billing dispute
- You are responsible for all applicable taxes on Services
6. Intellectual Property
All content, technology, software, and materials comprising the Ringback Local Services are owned by or licensed to Ringback Local and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our express written permission.
You retain ownership of any content or data you provide through the Services. By using the Services, you grant us a limited license to use, process, and store your data solely to provide and improve the Services.
7. Termination
Either party may terminate a service relationship at any time with reasonable notice, as specified in your service agreement. Ringback Local reserves the right to immediately suspend or terminate access to the Services without notice if you violate these Terms, engage in illegal activity, or cause harm to Ringback Local or other users.
Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law sections) shall survive.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Ringback Local does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
We do not guarantee specific business outcomes (such as lead conversion rates or revenue) from use of the Services. Results may vary depending on your industry, business, and customer base.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RINGBACK LOCAL AND ITS OWNER, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO RINGBACK LOCAL IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ringback Local and its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Forsyth County, North Carolina, and you consent to personal jurisdiction in such courts.
Before initiating formal legal proceedings, you agree to contact us in good faith at [email protected] to attempt to resolve the dispute informally.
12. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. We will provide reasonable notice of material changes (such as via email or a notice on our website). Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
